1. Scope of Application
These general terms of delivery apply to all sales and deliveries of products from BeeKeeper Chemicals AS ("Seller") to both business customers (B2B) and partner/reseller customers ("Buyer"), and form an integral part of the agreement between the parties. These terms apply throughout the EU, including Norway, Sweden, Finland, and Germany. Changes to these terms require the Seller's written consent.
2. Products and Delivery
2.1 Delivery Method: All products are shipped directly to the Buyer. Collection by the Buyer is not allowed.
2.2 Delivery: Delivery of products is made according to the Incoterms 2020 rules as specified in the purchase agreement. If not otherwise agreed, the delivery term is DAP (Delivered at Place) to the Buyer's business address.
3. Prices and Payment
3.1 Prices: All prices are quoted exclusive of VAT and other charges. Prices are adjusted for changes in exchange rates, taxes, and material costs as specified in the agreement.
3.2 Payment Terms: B2B Customers: Payment is made at checkout through the payment solutions available for the customer’s country.
Partner Customers: Advance payment or receive an invoice with a payment deadline agreed in the partner contract, including a standard 10-day payment period unless otherwise specified.
4. Product Information and Liability
4.1 Product Information: The Seller gives no warranties beyond those specified in the purchase agreement. Product information, including data sheets and safety data sheets, is available on the Seller’s website and is only binding to the extent they are expressly incorporated into the agreement.
4.2 Warranty Conditions: The Seller offers a limited warranty covering defects in materials and workmanship under normal use, valid from the delivery date and in accordance with the conditions specified in the warranty documentation. Normal use means that you have followed the instructions given by us and that you have read and understood the safety data sheet
4.3 Safety Data Sheets: Safety data sheets will be sent with the order confirmation or via a separate email and will always be available on our website: www.beekeepchem.com.
5. Export and Import
5.1 Export: The Seller is responsible for all exports to customers in Norway, Sweden, Finland, and Germany. The Seller is responsible for complying with all relevant export laws and regulations and will handle all necessary export procedures and documentation.
5.2 Import by the Buyer: If the Buyer wishes to move the products outside the original delivery country, the Buyer is responsible for complying with all relevant import laws and regulations in the new destination country.
6. Privacy and Data Handling
6.1 GDPR Compliance: The Seller commits to protecting and handling all personal data in accordance with the General Data Protection Regulation (GDPR) and other relevant privacy laws.

7. Intellectual Property Rights

This also includes products that are not yet patented but are understood to be potentially patentable. This also includes: all forms of communication between parties, all material that is shown on our pages, all material that is given to the customer/or that outsiders obtain. 8. Changes to Orders
8.1 Changes: Any request for changes to a confirmed order must be approved in writing by the Seller. Any costs or delays resulting from such changes will be handled according to the terms specifically agreed for the change.
9. Returns and Handling of Damages
9.1 Returns: The Seller does not accept returns unless there is an agreed defect or error with the product that is covered by the Seller’s liability for defects. To get approval for a return of defective products, the Buyer must:

9.2 Condition of Returned Goods: Products must be returned in the condition in which they were received, unless the defect is due to a manufacturing error. All returns must include original packaging and any accompanying documents.
9.3 Return Shipping Costs: Shipping costs for approved returns will be covered by the Seller. Unauthorized or unjustified returns will be rejected at the Buyer’s expense.
10. Inspection and Complaints upon Delivery
10.1 Inspection upon Receipt: Upon receipt of the delivery, the Buyer is obligated to immediately inspect the goods for any defects, damages, or missing items. This includes verifying that all goods listed on the delivery document are received and in satisfactory condition.
10.2 Reporting of Damages or Missing Items: If damages, defects, or missing items occur, the Buyer must immediately contact the carrier or the delivery point to report the issue and then:

10.3 Insurance Claims: The Seller will assist the Buyer in handling any claims against the transport insurance based on the documentation provided by the Buyer.

11.1 Force Majeure: The Seller is not liable for delays or non-delivery caused by circumstances beyond the Seller’s control. In such cases, the delivery time may be extended by the duration of such circumstances.
12. Dispute Resolution and Governing Law

12.2 Arbitration: Disputes that cannot be resolved amicably will be finally resolved by arbitration in Oslo, Norway, in accordance with the rules of the Arbitration Institute of the Stockholm Chamber of Commerce.

14.1 Miscellaneous: These terms of delivery constitute the entire agreement between the Seller and the Buyer and replace all previous oral or written agreements. Any changes or additions to these terms are only valid if they are in writing and signed by both parties.
